These terms apply between Joanis Innovative Ventures B.V. ("Bioshelf", "we", "us") and the business that installs the Bioshelf app on its Shopify store ("you"). By installing Bioshelf, you accept these terms, our data processing agreement, which is part of them, and you confirm that you may accept them for the business.
Bioshelf is offered only to businesses. You use it for your trade or business, not as a consumer.

2. The service
Bioshelf is an app for Shopify stores. It builds a mobile page for your store at its own address, such as yourstore.bioshelf.co, from your store's products, collections and branding, and keeps it in sync with your store. In the app, inside your Shopify admin, you can edit the page. Bioshelf also:
- counts clicks on your page, without cookies;
- adds UTM tags to the links from your page to your store;
- shows you the orders that came through a link on your page, when your store's order data shows that the buyer arrived through one;
- lets you add your own Meta Pixel and TikTok Pixel, which load only after a visitor accepts the cookie banner on your page;
- emails you a weekly report, which you can turn off.
A page currently holds up to 12 products and 4 collections. We improve Bioshelf over time and may change or remove features. These terms describe the service as it is, not future features.
3. Your account
You install Bioshelf from your Shopify admin, and your Shopify store is your account with us: there is no separate sign-up. You are responsible for who can open Bioshelf in your Shopify admin and for what they do there.
4. Subscription, free trial and billing
- One plan: $14 (USD) per 30-day billing period, with everything included. The price is shown in the app and on Shopify's approval page before you approve it.
- Free trial: 7 days, once per store. Reinstalling Bioshelf doesn't start a new trial: only the whole days left of the store's trial carry over.
- Billing by Shopify: Shopify charges the fee with your Shopify bill, under Shopify's terms. We never see your card or bank details. If we offer you a discount, it is shown on Shopify's approval page and applies as shown there.
- Without an active subscription (not approved yet, or declined, cancelled, expired or frozen), your page goes offline and shows "not found", and the app shows its subscribe screen. Nothing is deleted until you uninstall: once you subscribe again, your page comes back.
- Cancelling: uninstall Bioshelf from your Shopify admin, and Shopify cancels the subscription; you can also cancel it in any other way Shopify offers. We don't refund the rest of a billing period that has started.
- Price changes: we'll tell you at least 30 days before a new price applies to you, and it applies only once you approve it in Shopify.
5. Your content and acceptable use
Your page's content is yours: your texts, links, images, products and brand. You give us the right to host, copy, adapt for display and show it, as far as needed to run Bioshelf for you, including copies kept by our network provider for speed. This right ends when your data is deleted after you uninstall.
You are responsible for your page and what you sell through it, and for having the rights to what you put on it. You must follow Shopify's terms and policies. You must not use Bioshelf to:
- offer products or services, or publish content, that are unlawful where you sell them or that infringe other people's rights;
- mislead or defraud people, or link to malware, phishing or other harmful sites;
- publish hateful, harassing or violent content, or send spam;
- disrupt, overload, probe or get around Bioshelf, its limits or its billing, or access other merchants' data.
Pixels, tags and your visitors. You decide whether to add Meta or TikTok pixels and which UTM values to use. You are responsible for your agreements with Meta and TikTok, for your own privacy policy, and for meeting your obligations towards your visitors and customers, including any consent they must give. Bioshelf shows a cookie banner and loads pixels only after consent, but you remain responsible for checking that this meets your obligations.
If your page or your use of Bioshelf breaks this section, we may take the content down or put your page offline, telling you why where we can.
6. Data protection
Our privacy policy explains how we handle personal data. For the data about your page visitors and customers, you are the controller and we are your processor: our data processing agreement is part of these terms and applies automatically.
7. Availability and support
Bioshelf is provided "as is" and "as available". We don't guarantee that it will run without interruption or errors, and we give no uptime guarantee. We make reasonable efforts to keep it running, and to announce planned maintenance in advance. Bioshelf depends on Shopify and on our hosting and network providers, and we aren't responsible for their outages.

8. Our rights in Bioshelf
Bioshelf, its software, design, name and mark belong to Joanis Innovative Ventures B.V. While your subscription or trial is active, you may use Bioshelf for your store; this right is not exclusive and you can't transfer it. You must not copy, resell or reverse engineer Bioshelf, except where the law allows it. If you send us ideas or feedback, we may use them freely.
9. Liability
- We are not liable for indirect or consequential loss, or for lost profits.
- Our total liability for all claims under these terms is limited to the fees you paid for Bioshelf in the 12 months before the claim.
- Nothing in these terms limits our liability for loss caused by our intent or gross negligence, or any liability that the law doesn't allow us to limit.
- If a third party makes a claim against us because of your content or your breach of these terms, you'll compensate us for the resulting damage and reasonable costs.
10. Suspension and termination
- You can stop at any time by uninstalling Bioshelf, which also cancels the subscription.
- We may suspend your page or your access if you break section 5 or don't pay. We may end the service for you with 30 days' notice, or at once for a serious breach of these terms or when the law requires it.
- After the end, your data is deleted as explained in our privacy policy: 48 hours after an uninstall.
11. Changes to these terms
We may change these terms. For a material change, we'll tell you by email or in the app at least 30 days before it applies. If you keep using Bioshelf after that date, you accept the new terms; if you don't agree, you can cancel by uninstalling before then. Other changes, such as clearer wording, apply when we publish them. The date at the top shows the latest version.
12. Governing law and disputes
These terms are governed by the laws of the Netherlands. Any dispute goes to the competent court in Amsterdam, Netherlands.
13. Other terms
- These terms, our privacy policy and our data processing agreement are the whole agreement between you and us about Bioshelf.
- If a part of these terms is invalid, the rest still applies.
- If we don't enforce a right at once, we don't give it up.
- We may transfer this agreement to a company that takes over Bioshelf, and we'll tell you if we do.
- These terms exist in English and French. If they differ, the English version applies.
